The Customer declares to have read all the information and general conditions of sale presented herein, before placing an order.
GENERAL CONDITIONS OF SALE:
These general conditions of sale (“General Conditions”) regulate methods and conditions of sale of the products marketed by Royal Bee Design (“Products”). All product sales contracts from Royal Bee Design to third parties (“Customers”) are regulated by these General Conditions, which are an integral and essential part of any proposal, order and placement of a purchase order for the Products. Sales conditions applied to the orders are those in force at the moment of placing the order.
1. PRODUCTS: PRICES AND FEATURES
1.1 Unless otherwise agreed, products prices published on the website by Royal Bee Design are in Euros, excluding VAT and delivery costs. VAT and delivery costs are calculated at checkout. Prices guaranteed to the Customer shall be those published on the Website on the day the order is placed. The price stated at the moment of purchase is fixed and definitive. Deliveries outside of the EU also not include customs, that will be charged to the Customer and will be asked for by the courier at the moment of delivering the goods. Prices presented on the Website by Royal Bee Design cancel and replace the previously stated ones, and are subject to Products availability.
1.2 Products images are for illustrative purpose only and are not binding. Product made in marble, onyx or any natural stone may be significantly different one from the other, according to the stone each of them comes from, therefore slight variations in colour and shade are to be considered a guarantee of an handcrafted creation. Images on the Website by Royal Bee Design are indicative. Products cannot be sent for testing. Although Royal Bee operators can provide Customers with information on the Products, the Customer is responsible for the choice of the Products ordered and for their conformity to the specifications sent by each producer.
2. ORDERS – BILLING
Each order placed represents a contractual proposal of the Customer. Clearance of the order by Royal Bee Design represents its confirmation and acceptance. Tax documents related to orders will be issued by Royal Bee Design at the time of dispatching Products to the Customers. The invoice will be issued by Royal Bee Design. The Customer will have to indicate the exact necessary data and the billing address.
3. ORDER FULFILLMENT
The order will be fulfilled according to the terms stated on the Website. Once an order is confirmed, it should be cancelled only within 24hours, at the day of which the customer is obliged to pay for the order. In accordance with the laws, our customers, anyway, could return the order within 14 days of receipt, as our return policy states (9. Right to Cancel).
Deliveries are usually made within 2 to 3 working days for European countries and within 2 to 6 working days for non-EU destinations, provided that the products are marked as "available." If the order cannot be fulfilled (due to product unavailability), Royal Bee Design will promptly notify the customer regarding the expected delivery time, contingent upon product availability. If the customer chooses not to wait and decides to cancel the order, Royal Bee Design will refund the purchase price. Refunds will be processed within 30 working days from the date of order cancellation. In the event of breakage, stock depletion, or unavailability of the ordered product, Royal Bee Design will inform the customer promptly, specifying a new estimated time for product availability. The customer is required to confirm their choice via email, indicating whether they wish to wait for the product to become available or request a refund.
4. ORDER ACCEPTANCE
The conclusion of the agreement will only take place at the moment of theorder confirmation by Royal Bee Design. The Customer will be notified of the acceptance by e-mail. The message will state the order confirmation with all the elements of the agreement (Products,prices, shipping costs, …). Royal Bee Design reserves the option not to confirm any order for whatever reason, especially if involving supply problems or the order itself.
5. PRODUCT DELIVERY
Products are shipped to the shipping address stated by the Customer. Deliveries will take place as soon as the payment confirmation is received: bank transfers are attested by the credit on our current account, credit card and PayPal payments are attested by the transaction confirmation by the Stripe financial services company. We deliver through qualified express couriers, or specialists in furniture delivery, to guarantee the quality of our service and Products integrity.
Delivery Time
Royal Bee Design ships orders usually within 2/3 working days for Italy and2/6 working days for other destinations, subject to Product immediate availability in stock. Delivery times are stated in week days. For Products having different delivery times, the deadline applied is equal to the item with the longest delivery time. For delivery delays of less than 30 (thirty) days, the Customer is neither allowed to refuse the delivery, nor to ask for refunds or compensations. Royal Bee Design reserves the right, if necessary, to segment the delivery of Products in different steps (even for items belonging to the same order). Delivery is to be considered completed at the moment the Product is consigned to the Customer. The delivery note issued by the courier and dated and signed by the Customer is proof of transport and delivery of the Product.
Delivery on street level and Assembling
Deliveries are to be intended on street level: Products will not be delivered on the Customer’s floor and we will not take any trade-in. Unless otherwise specified or agreed in written form, Royal Bee Design does not offer any assembly service. The majority of our Products is delivered in pre-assembled form: final assembly is usually very easy and generally consists of assembling determined pieces.
Please note
On delivery, the Customer must verify the content of the package, the conformity and state of the Product(s). Royal Bee Design recommends verifying the overall state of the Product(s) before signing the delivery note. In particular, the Customer must verify that:
1. number of parcels corresponds to that stated in the enclosed delivery note.
2. package is intact, neither damaged nor wet or adulterated, and the content undamaged.
Should the Customer note any anomalies, delivery of the Products must be refused or detailed reserves must be put in writing and dated. Once the Customer signs the delivery note with no “reserve”, he/she will not be able to question the external conditions of the delivered Product. Issues about integrity, correspondence or completeness of the Products received must be notified within three 3 (three) from the delivery. Royal Bee Design reserves the right to deliver the Products through a courier selected by the Customer. Special delivery terms and conditions must be previously agreed between the Customer and Royal Bee Design, and accepted in writing by Royal Bee Design.
Duties and taxes
International deliveries outside the EU do not include customs & clearance fees, duties & taxes, and any other local taxes. Royal Bee Design is unable to offer guidance on such duties or taxes and recommend that you contact your local Customs Office. These duties are payable by the customer prior to their delivery or at the time of the delivery (the amount will be calculated once the goods arrive in customs), and will be at the customers expense.
Royal Bee Design does not manage the tax refund. You can either contact the customs directly or have the delivery done to the asked address.
6. PRODUCTS PICK UP – CUSTOMER’S ABSENCE
In case the Products could not be delivered to the address provided by the Customer during the order process, the courier will leave a note stating address and method for collecting the package. If the Customer does not collect the package within the deadline indicated by the courier, Products will have to be returned carriage paid to Royal Bee Design, that reserves the right to refund the Customer for the price of the Product, minus charges for shipping.
In the event of an error during the delivery, the Customer is in charge of returning the Product(s) to Royal Bee Design within 7 (seven) days from delivery, in the original and intact packaging, with its delivery note. Once the Product is received in its correct form, Royal Bee Design will send at its own expenses the Product initially ordered.
7. FORCE MAJEURE
The following cases are to be considered as force majeure, apart from those specified by law: – total or partial strikes, internal or external to the Company, stop of means of transport or provisions for any reason, governative or legal restrictions, computer breakdowns, telecommunication halt included networks and the Internet. Force majeure will cause the suspension of the order. If after 3 (three) months parties observe the persistence of the force majeure, the order will be automatically cancelled, unless otherwise agreed.
8. WARRANTIES
8.1. In the event of a product’s compliance defect or lack of conformity pursuant to Article 129 of the Consumer Code, the legal guarantee under Articles 130 and 132 of the Consumer Code will apply. The Customer is entitled to restore, without charge, the conformity of the goods by repair or restoration. Should such remedies fail, the Customer is entitled to an appropriate price reduction or termination of the contract. The Customer shall forfeit those rights if the defect of conformity is not reported to Royal Bee Design within 15 days of the date on which the defect is discovered.
8.2.Excluded from the warranty with regard to defects and/or lack of conformity are circumstances that may cause defects such as improper use or storage and inadequate care not in accordance with the instructions provided by Royal Bee Design or reckless and negligent actions in relation to the nature and characteristics of the product.
8.3. Royal Bee Design reserves the right to examine the allegedly flawed and/or defective and/or non-compliant products in order to verify the flaws, defects, and non-conformities reported by the Customer. Under no circumstances will unauthorized returns be accepted. All returns relating to custom-made products (e.g., custom size, custom color) and/or personalized items (e.g., initials engraved on marble objects) will not be accepted.
9. RIGHT TO CANCEL
9.1 According to the provisions of § 1829 et seq. of the Civil Code, the Customer has the right to withdraw from the contract and return the products ordered with no penalty and without specifying the reasons, within 14 (fourteen) days from the delivery time.
9.2 The right to cancel the contract of sale can be exercised by the Customer within 14 days without giving any reason. The cancellation period will expire after 14 days from the day on which the Customer acquires, or a third party other than the carrier and indicated by the Customer acquires, physical possession of the goods
To exercise the right to cancel, the Customer must inform us:

To meet the cancellation deadline, the Customer only needs to send their communication regarding the exercise of the right to cancel before the cancellation period expires.
9.3 EFFECTS OF CANCELLATION
If the customer cancels this contract, we will refund all payments received, including the costs of delivery, except for supplementary costs incurred if the customer has chosen a delivery method other than the least expensive standard delivery offered by Royal Bee Design. We reserve the right to deduct a reasonable amount from the reimbursement if there is a loss in the value of any goods due to unnecessary handling by the customer. We will process the reimbursement promptly and no later than 30 working days after receiving the returned goods from the customer. The reimbursement will be made using the same payment method as the initial transaction unless otherwise agreed by the customer; in any case, the customer will not be charged any additional fees for the reimbursement
9.4 The Customer must return the goods or hand them over to us at the following address: Royal Bee Design – Pod Výtopnou 645/8, 186 00 Prague, Czech Republic, without undue delay and no later than 14 days from the date on which the Customer communicates the cancellation of this contract to us. The deadline is considered met if the Customer sends back the goods before the 14-day period expires. The direct cost of returning the goods is the responsibility of the Customer.
9.5 The Customer is only responsible for any decreased value of the goods due to handling beyond what's necessary to understand their nature, characteristics, and functionality. The returned goods must be in resalable condition.
9.6 The right to cancel, as mentioned in point 9.1, cannot be exercised by the Customer if the purchased Products have been custom-made to the consumer's specifications, are clearly personalized, or have a rapid deterioration or expiration. This right also does not extend to Royal Bee Design products.
9.7 Royal Bee Design recommends inspecting the Product(s) before signing the delivery note. Ensure that the number of parcels matches what's indicated on the enclosed delivery note and that the package is undamaged, not wet, or adulterated, with its contents intact.
10. PAYMENT
Payment is due at the time of order confirmation. The Customer agrees to pay the agreed price for the Product ordered on the Website, which includes the price of the Product and shipping costs. Additionally, the Customer will pay any applicable VAT and other taxes related to the import of Products in the destination country when necessary and directly to the courier.
TheCustomers pays for the order:
- by credit card, as suggested on the Website.
The Customer guarantees to RoyalBee Design to have all authorizations necessary to use card payment while confirming the order.
- by bank transfer in favour of Royal Bee Design
In the event of missing reception by Royal Bee Design of the bank transfer within the following 14 (fourteen) days from the order, Royal Bee Design reserves the right to cancel the order. Bank details of the Company will be provided at the order confirmation.
- by Paypal and ApplePay
The Customer guarantees to Royal Bee Design to have all authorizations necessary to use PayPal and Apple Pay while confirming the order.
11. FAILURE TO PAY – CONDITIONAL SALE
Products ordered are property of Royal Bee Design until the definitive and complete payment of their price (If the contracting party is a Consumer, it governs relations that are not regulated by the RDP, the Civil Code (No. 89/2012 Coll.) And the Consumer Protection Act (No.634/1992 Coll.), All as amended. If the contracting party is an Entrepreneur, the relations are governed by the Civil Code, No.89/2012 Coll., As amended, however, in this case the provisions on consumer contracts (distance contracts) contained in Act No. 89/2012 Coll. and in other consumer protection regulations.). Royal Bee Design reserves the right to demand the Products ordered in case of failure to pay. In this event and by request of Royal Bee Design, the Customer commits to return any non-paid item, at his/her own expenses.
12. CLAIMS
Complaints for non-compliance of delivered Product(s) with the order must be sent in writing to Royal Bee Design, immediately after receiving the goods. The Customer must keep the original packaging and the delivery note.
13. PERSONAL INFORMATION
Customers' personal data, including email addresses of the Website users, are processed in accordance with Article 4(7) of Regulation (EU) 2016/679 of the European Parliament and of the Council of April 2016 on the protection of individuals with regard to the processing of personal data and on the free movement of such data, repealing Directive 95/46/EC, hereinafter referred to as the 'Data Protection Regulation' or 'GDPR,' as detailed in Art. 13 of the GDPR, also known as the Privacy Policy.
Personal information requested from and related to the Customer is essential for processing and shipping orders, issuing invoices, and drafting warranty agreements, as applicable. For these purposes, Royal Bee Design may provide suppliers with this personal information.
The Customer has the right to object to this disclosure and to access, modify, amend, and delete all data related to them. Please contact Royal Bee Design at Pod Výtopnou 645/8, 186 00 Prague, Czech Republic, to exercise these rights.
14. ELECTRONIC SIGNATURE
The“approval click” constitutes an electronic signature. Between the parties this electronic signature has the same legal value as a handwritten signature.
15. NON RENUNCIATION
Anyone or more failure by Royal Bee Design to enforce any provision of this agreement or to exercise any right shall in no way constitute awaiver of such right or remedy on any future occasion.
16. AGREEMENT INTEGRALITY
These General Conditions of Sale represent all obligations of the parties. No other general or special term and conditions communicated by the customer shall neither be included in, nor depart from these General Conditions.
17. INTELLECTUAL PROPERTY
Royal Bee Design owns the intellectual property right upon the Website and the right to display the elements of the e-shop catalogue. Consequently, total or partial reproduction of the elements contained in the Website or the catalogue on any medium whatsoever, the use of such elements and the fact to make them available to third parties are formally prohibited.
18. NULLITY
Should one or several clauses of these General Conditions be considered as being non valid or is declared to be so in accordance with an act, a rule or pursuant to definitive ruling of a competent court, the remaining clauses will remain valid.
19. GOVERNING LAW
These conditions are governed by and interpreted in accordance with the laws of the Czech Republic. The use of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded. If your habitual residence is in the EU, and you are a consumer, you also have the protection provided by the mandatory laws of your country of residence. Both Royal Bee Design and you agree to submit to the non-exclusive jurisdiction of the courts in the Czech Republic. This means you can assert your consumer protection rights in the Czech Republic or the EU country where you reside.
20. DISPUTE RESOLUTION
Informal Negotiations
To expedite the resolution and control the cost of any dispute, controversy, or claim related to these Terms of Use (each a 'Dispute' and collectively, the 'Disputes') brought by either you or us (individually, a 'Party,' and collectively, the 'Parties'), the Parties agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party.
Binding Arbitration
Any dispute arising from the relationships between the Parties to this contract shall be determined by one arbitrator. The arbitrator will be chosen in accordance with the Arbitration and Internal Rules of the European Court of Arbitration, which is part of the European Centre of Arbitration, located in Strasbourg. These rules are in force at the time the application for arbitration is filed, and the adoption of this clause constitutes acceptance. The seat of arbitration shall be Prague, Czechia. The language of the proceedings shall be English or Czech. The applicable rules of substantive law shall be the law of Czechia.
Restrictions
The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the fullest extent permitted by law: (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class-action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.
Exceptions to Informal Negotiations and Arbitration
The Parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations and binding arbitration: (a) any Disputes seeking to enforce, protect, or concerning the validity of any intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable. Such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

Once an order is confirmed, it can only be canceled within 24 hours, after which the customer is obliged to pay for the order. In accordance with the law, our customers have the right to return the order within 14 days of receipt, as our return policy states (Section 9: Right to Cancel).

4. ORDER ACCEPTANCE
The agreement will be concluded only upon the confirmation of the order by Royal Bee Design. The customer will receive an email notification confirming the acceptance, which will include all the details of the agreement (products, prices, shipping costs, etc.). Royal Bee Design reserves the right not to confirm any order for any reason, particularly in cases involving supply problems or other issues.
5. PRODUCT DELIVERY
Products are shipped to the shipping address provided by the customer. Deliveries will be initiated upon confirmation of payment: bank transfers are confirmed upon receipt of funds in our current account, while credit card and PayPal payments are confirmed by the transaction confirmation from the Stripe financial services company. We use qualified express couriers or furniture delivery specialists to ensure the quality of our service and the integrity of our products.
DeliveryTime
Royal Bee Design typically ships orders within 2-3 working days for Italy and 2-6 working days for other destinations, depending on the immediate availability of the product in stock. Delivery times are specified in weekdays. For products with varying delivery times, the deadline applied is equal to the item with the longest delivery time. For delivery delays of less than 30 (thirty) days, the customer is not permitted to refuse the delivery or request refunds or compensation.
Royal Bee Design reserves the right, when necessary, to split the delivery of products into different stages, even for items within the same order. Delivery is considered complete when the product is handed over to the customer. The delivery note issued by the courier, dated, and signed by the customer serves as proof of transport and product delivery.
Delivery on street level and Assembling
Deliveries are made at street level, meaning products will not be delivered to the customer's floor, and we do not offer trade-in services. Unless otherwise specified or agreed in writing, Royal Bee Design does not provide assembly services. Most of our products are delivered in pre-assembled form. Upon delivery, the customer is responsible for verifying the package's content, the conformity, and the condition of the product(s). Royal Bee Design recommends inspecting the overall state of the product(s) before signing the delivery note. In particular, the customer should confirm that:
The number of parcels matches the count stated in the enclosed delivery note.The package is intact, without damage, moisture, or tampering, and the contents are undamaged.If the customer notices any irregularities, they should either refuse the product's delivery or record detailed reservations in writing, including the date. Once the customer signs the delivery note without any reservations, they cannot dispute the external condition of the delivered product. Any issues regarding the integrity, correspondence, or completeness of the received products must be reported within three (3) days of delivery.Royal Bee Design reserves the right to use a courier chosen by the customer for delivery. Special delivery terms and conditions must be agreed upon in advance between the customer and Royal Bee Design and accepted in writing by Royal Bee Design.
Dutiesand taxes
Internationaldeliveries outside the EU do not include customs & clearancefees, duties & taxes, and any other local taxes. Royal Bee Designis unable to offer guidance on such duties or taxes and recommendthat you contact your local Customs Office. 8.2.Excluded from the warranty with regard to defects and/or lack ofconformity are circumstances that may cause defects such as improperuse or storage and inadequate care not in accordance with theinstructions provided by Royal Bee Design or reckless and negligentactions in relation to the nature and characteristics of the product.
8.3.Royal Bee Design reserves the right to examine the allegedly flawedand/or defective and/or non-compliant products, in order to verifythe flaws/defects and/or non-conformities reported by the Customer.Under no circumstances will unauthorised returns be accepted. Allreturns relating to products that are custom made (i.e. custom size,custom color) and/or personalized (i.e. initials engraving on themarble objects) will not be accepted.
9. RIGHT TO CANCEL
9.1 Accordingto the provisions of § 1829 et seq. of the Civil Code has the rightto withdraw from the contract and to send back the products ordered,with no penalty and without specifying the reasons, not later than 14(fourteen) days from the delivery time.
9.2 TheRight to Cancel the contract of sale can be exercised by theCustomer within 14 days without giving any reason. Thecancellation period will expire after 14 days from the day on whichthe Customer acquires, or a third party other than the carrier andindicated by the Customer acquires, physical possession of thegoods.
Toexercise the right to cancel, the Customer must inform us:
1.by mail Royal Bee Design – Peter Benda – Pod Výtopnou645/8–186 00 Prague Czech Republic
2. by emailat contact@royalbee.co
ofhis/her decision to cancel this contract by a clear statement (e.g.a letter sent by post, or e-mail).
Tomeet the cancellation deadline, it is sufficient for the Customer tosend his/her communication concerning the exercise of the right tocancel before the cancellation period has expired.
9.3 EFFECTSOF CANCELLATION
Shouldthe customer cancel this contract, we will reimburse to the Customerall payments received, including the costs of delivery (exceptfor the supplementary costs arising if the Customer has chosen a typeof delivery other than the least expensive type of standard deliveryoffered by Royal Bee Design). We may make a deduction from thereimbursement for loss in value of any goods supplied, if the loss isthe result of unnecessary handling by the Customer. We will make thereimbursement without undue delay, and not later than: 30 workingdays after the day we receive back from the Customer any goodssupplied. We will make the reimbursement using the same means ofpayment as used for the initial transaction, unless the Customer hasexpressly agreed otherwise; in any event, the Customer will not incurany fees as a result of the reimbursement.
9.4 TheCustomer shall send back the goods or hand them over to us at theaddress: Royal Bee Design – Pod Výtopnou 645/8, 186 00 Prague,Czech Republic without undue delay and in any event not later than 14days from the day on which the Customer communicates the cancellationfrom this contract to us. The deadline is met if the Customer sendsback the goods before the period of 14 days has expired. TheCustomer will have to bear the direct cost of returning the goods.
9.5 TheCustomer is only liable for any diminished value of the goodsresulting from the handling other than what is necessary to establishthe nature, characteristics and functioning of the goods. Thereturned goods must be in resalable condition.
9.6 Theright to cancel stated in point 9.1 cannot be exercised by theCustomer if the Products purchased have been made to the consumer’sspecifications, are clearly personalized or deteriorate or expirerapidly. The right is not extended also to Royal Bee Designproducts.
9.7 RoyalBee Design recommends verifying the overall state of the Product(s)before signing the delivery note. In particular, the Customer mustverify that number of parcels corresponds to that stated in theenclosed delivery note and that the package is intact, neitherdamaged nor wet or adulterated, and the content undamaged.
10. PAYMENT
Paymentis due at the moment of the order confirmation. The Customer commitsto pay the agreed price for the Product ordered on the Website (priceof the Product plus Shipping costs), and to pay – when necessaryand directly to the courier – VAT and any other tax related to theimport of Products in the country of destination of the Product.
TheCustomers pays for the order:
– by credit card, assuggested on the Website.
The Customer guarantees to RoyalBee Design to have all authorizations necessary to use card paymentwhile confirming the order.
–by bank transfer in favour of Royal Bee Design
In theevent of missing reception by Royal Bee Design of the bank transferwithin the following 14 (fourteen) days from the order, Royal BeeDesign reserves the right to cancel the order. Bank details of theCompany will be provided at the order confirmation.
–by Paypal and ApplePay
The Customer guarantees to RoyalBee Design to have all authorizations necessary to use PayPal andApplePay while confirming the order.
11. FAILURE TO PAY – CONDITIONAL SALE
Productsordered are property of Royal Bee Design until the definitive andcomplete payment of their price (If the contracting party is aConsumer, it governs relations that are not regulated by the RDP, theCivil Code (No. 89/2012 Coll.) And the Consumer Protection Act (No.634/1992 Coll.), All as amended. If the contracting party is anEntrepreneur, the relations are governed by the Civil Code, No.89/2012 Coll., As amended, however, in this case the provisions onconsumer contracts (distance contracts) contained in Act No. 89/2012Coll. and in other consumer protection regulations.). Royal BeeDesign reserves the right to demand the Products ordered in case offailure to pay. In this event and by request of Royal BeeDesign, the Customer commits to return any non-paid item, at his/herown expenses.
12. CLAIMS
Complaintsfor non-compliance of delivered Product(s) with the order must besent in writing to Royal Bee Design, immediately after receiving thegoods. The Customer must keep the original packaging and thedelivery note.
13. PERSONAL INFORMATION
Customers’personal data, including e-mail addresses of the Website users, areprocessed in accordance with the Article 4 (7) of Regulation (EU)2016/679 of the European Parliament and of the Council of April 2016on the protection of individuals with regard to the processing ofpersonal data and on the free movement of such data and repealingDirective 95/46 / EC (hereinafter referred to as the "DataProtection Regulation") (hereinafter "GDPR") Art. 13The GDPR also known as Privacy Policy.
Personalinformation requested from and related to the Customer is essentialto process and ship the order, to issue invoices and to draftwarranty agreements, as the case may be. For this purpose, RoyalBee Design may provide suppliers with this personalinformation.

14. ELECTRONIC SIGNATURE
The“approval click” constitutes an electronic signature. Between theparties this electronic signature has the same legal value as ahandwritten signature.
15. NON RENUNCIATION
Anyone or more failure by Royal Bee Design to enforce any provision ofthis agreement or to exercise any right shall in no way constitute awaiver of such right or remedy on any future occasion.
16. AGREEMENT INTEGRALITY
TheseGeneral Conditions of Sale represent all obligations of the parties.No other general or special term and conditions communicated by thecustomer shall neither be included in, nor depart from these GeneralConditions.
17. INTELLECTUAL PROPERTY
RoyalBee Design owns the intellectual property right upon the Website andthe right to display the elements of the e-shop catalogue.Consequently, total or partial reproduction of the elements containedin the Website or the catalogue on any medium whatsoever, the use ofsuch elements and the fact to make them available to third partiesare formally prohibited.
18. NULLITY
Shouldone or several clauses of these General Conditions be considered asbeing non valid or is declared to be so in accordance with an act, arule or pursuant to definitive ruling of a competent court, theremaining clauses will remain valid.
19. GOVERNING LAW
Theseconditions are governed by and interpreted following the laws ofCzechia, and the use of the United Nations Convention of Contractsfor the International Sales of Goods is expressly excluded. If yourhabitual residence is in the EU, and you are a consumer, youadditionally possess the protection provided to you by obligatoryprovisions of the law in your country to residence. Royal Bee Designand yourself both agree to submit to the non- exclusive jurisdictionof the courts of Czech Republic, which means that you may make aclaim to defend your consumer protection rights in regards to theseConditions of Use in Czechia, or in the EU country in which youreside.
20. DISPUTE RESOLUTION
InformalNegotiations
Toexpedite resolution and control the cost of any dispute, controversy,or claim related to these Terms of Use (each a "Dispute"and collectively, the “Disputes”) brought by either you or us(individually, a “Party” and collectively, the “Parties”),the Parties agree to first attempt to negotiate any Dispute (exceptthose Disputes expressly provided below) informally for at leastthirty (30) days before initiating arbitration. Such informalnegotiations commence upon written notice from one Party to the otherParty.
BindingArbitration
Anydispute arising from the relationships between the Parties to thiscontract shall be determined by one arbitrator who will be chosen inaccordance with the Arbitration and Internal Rules of the EuropeanCourt of Arbitration being part of the European Centre of Arbitrationhaving its seat in Strasbourg, and which are in force at the time theapplication for arbitration is filed, and of which adoption of thisclause constitutes acceptance. The seat of arbitration shall bePrague, Czechia. The language of the proceedings shall beEnglish/Czech. Applicable rules of substantive law shall be the lawof Czechia.
Restrictions
TheParties agree that any arbitration shall be limited to the Disputebetween the Parties individually. The the full extent permitted bylaw, (a) no arbitration shall be joined with any other proceeding;(b) there is no right or authority for any Dispute to be arbitratedon a class-action basis or to utilize class action procedures; and(c) there is no right or authority for any Dispute to be brought in apurported representative capacity on behalf of the general public orany other persons.
Exceptionsto Informal Negotiations and Arbitration
TheParties agree that the following Disputes are not subject to theabove provisions concerning informal negotiations bindingarbitration: (a) any Disputes seeking to enforce or protect, orconcerning the validity of, any of the intellectual property rightsof a Party; (b) any Dispute related to, or arising from, allegationsof theft, piracy, invasion of privacy, or unauthorized use; and (c)any claim for injunctive relief. If this provision is found to beillegal or unenforceable, then neither Party will elect to arbitrateany Dispute falling within that portion of this provision found to beillegal or unenforceable and such Dispute shall be decided by a courtof competent jurisdiction within the courts listed for jurisdictionabove, and the Parties agree to submit to the personal jurisdictionof that court.

Theremay be information on the Site that contains typographical errors,inaccuracies, or omissions that may relate to the MarketplaceOfferings, including descriptions, pricing, availability, and variousother information.
